From establishing a realistic valuation and preparing your business for market, through finding and qualifying buyers, negotiating offers, Heads of Terms and due diligence, Gavin remains your main adviser through to completion.

Stage 01
Understand what the numbers suggest your business is worth and whether the market is realistically likely to pay it.
Stage 02
Gather the information buyers will need, prepare the Information Memorandum and organise the pre-sale information and data room.
Stage 03
Identify and proactively approach potential acquirers confidentially.
Stage 04
Assess buyer rationale, credibility, strategic fit, decision-making authority, proposed funding route and intended deal structure.
Stage 05
Compare the whole deal, not simply the headline price.
Stage 06
Negotiate the commercial terms and progress the chosen buyer into Heads of Terms.
Stage 07
Coordinate the process and help manage the inevitable questions, pressure and negotiation.

From Gavin, every week your business is on the market.
Professional advisers
You're always free to use your existing solicitor, accountant and tax advisers.
If you need additional support, T360P can also introduce you to independent experienced solicitors and accountants who understand business transactions.
They remain independently appointed professional advisers.
Gavin remains responsible for leading and coordinating the sale process.
Fees
Selling a business involves significant work before the first buyer is approached.
We've structured our Marketing Retainer so you no longer have to pay the whole amount on day one.
50% on engagement
We begin valuation, preparation, information gathering, marketing materials and buyer research.
50% when ready to go to market
The remaining 50% becomes payable when the agreed sale preparation and marketing materials are substantially complete and T360P is ready to commence buyer approaches.
When Heads of Terms or a similar agreement is signed with the chosen buyer, a Transaction Progress Fee of 0.5% of Enterprise Value + VAT becomes payable.
This is credited in full against the Success Fee if the transaction completes.
Enterprise Value up to and including £1,000,000: 5%
Enterprise Value above £1,000,000: 2.5%
Success Fee payable upon completion.
The Marketing Retainer is separate from and is not credited against the Success Fee.

The total retainer is paid in two equal instalments. The Transaction Progress Fee counts towards, rather than increases, the Success Fee.
